JOB DESCRIPTION
- Internal Document System Development
- Propose necessary legal issues in organizational and internal management activities to the Board of Directors and the Executive Board.
- Directly or in coordination with other Departments/Units, draft internal regulations and other important documents.
- Draft procedures related to legal activities in internal operations, suitable for the Department’s functions.
- Draft documents and prepare dossiers for transactions and issue sample contracts arising during the Group’s operations.
- Support Departments/Units in building management and control systems for subsidiaries and affiliated companies.
- Contract/Legal Document Review
- Review the legal content of contracts/documents related to internal operations, capital mobilization, and business activities during the Group’s project implementation and management phases.
- Draft and issue sample contracts/documents for operations, implementation, and business activities.
- Legal Advisory
- Advise the Board of Directors, Executive Board, and Group Leadership on legal issues related to management and operational activities arising during project implementation.
- Advise on issues related to the Group’s restructuring activities; legal issues related to listing on the stock exchange; public company operations, and capital mobilization for project implementation/business activities.
- Advise or support specialized Departments/Units in resolving legal issues arising with contractors and suppliers during the Group’s implementation and business activities.
- Advise or support the business department in resolving legal issues arising with customers in all business activities.
- Advise or support necessary legal issues in protecting the Group’s interests regarding brand and intellectual property.
- Advise and participate in resolving internal disputes; disputes with external individuals and organizations, ensuring the Group’s interests.
- Directly or in coordination with other Departments/Units, provide opinions on disputes, legal violations, and violations of internal management regulations. Propose appropriate solutions.
- Directly participate in litigation at all levels of courts, enforcement agencies, and competent State agencies to protect the Group’s legal rights and interests.
- Legal Support for Project Departments
- Draft and advise, support the implementation of project legal procedures and dossiers, advise on resolving project legal issues arising during the legal procedure implementation process to serve project development and investment activities.
- Advise and propose legal solutions, draft, and review the legal content of contracts and documents related to the sale, advertising, marketing, and business of real estate products of the Group’s projects.
- Advise and propose legal solutions, draft, and review the legal content of contracts and documents related to all capital mobilization activities, including but not limited to borrowing, lending, investment cooperation, etc., of the project investor companies and related parties.
- Advise on legal issues, draft, and review the legal content of contracts related to design, construction, procurement of materials and equipment, and construction of the Group’s projects.
- Advise Departments/Units, draft, and review the legal content of contracts/documents for managing and operating buildings, residential areas, and project assets.
- Support working with customers, partners, contractors, suppliers, investors, and related consultants in signing and implementing contracts for project implementation, construction, and operation activities.
- Propose solutions for implementing legal procedures related to investment and project development activities in accordance with current legal regulations.
- Timely update legal information and documents related to real estate project procedures.
- Timely cooperate with the Project Development Department to resolve legal procedure issues to ensure project implementation progress.
- M&A Legal Support
- Perform necessary legal tasks for the M&A process of the Company.
- Conduct preliminary legal due diligence on potential companies.
- Propose feasible investment structures from a legal perspective after completing preliminary legal due diligence, ensuring control and minimizing potential legal risks.
- Review and adjust preliminary agreements/contracts in accordance with current legal regulations and feasible investment structures.
- Negotiate and review the legal aspects of companies to select potential companies for M&A.
- Participate in negotiations with partners on feasible investment structures and implementation methods when assigned, ensuring maximum benefits and minimizing risks for the Group.
- Closely coordinate with the Investment Department and related Departments/Units to execute transactions, prevent, control, and minimize legal risks arising during the M&A process.
- Review detailed contracts and transaction documents in line with approved investment structures.
- Support negotiating with partners to finalize the content of detailed contracts and transaction documents, ensuring maximum benefits for the Group and compliance with approved investment structures.
- Perform checks and verify the accuracy and truthfulness of the legal dossiers of the Company and the scope and authority of all parties involved in the transaction, including but not limited to competent State agencies and consulting units.
- Legal Document Update and Systematization
- Monitor and update necessary legal documents for the entire Group in operational, management, and project implementation activities.
- Lead or propose amendments and supplements to internal regulations based on changes and additions to the legal document system.
- Advise legal policies to the Group Leadership and related Departments/Units to ensure all Group activities comply with legal regulations.
- Maintain, appraise, and regularly update the Group’s regulatory document system, ensuring it meets the Group’s operational requirements and the frequent changes in legal regulations.
- Building, Updating, and Managing the Group’s Authorization System
- Manage, update, and draft the authorization document system across the entire system.
- Advise the Board of Directors and the Executive Board on building a framework for delegation and authorization to ensure compliance with regulations.
- Develop internal authorization documents and guide the scope of authorization across the system.
- Compliance Control
- Identify, analyze, handle, monitor, and report risks according to the Group’s orientation, ensuring effective and continuous risk management in Departments/Units.
- Establish, train, and continuously improve policies and operational processes of each Department/Unit, ensuring employees understand and comply with implementation.
- Appraise internal management regulations, review risks, and address risks in the operation of internal regulations. Propose amendments and supplements to internal management regulations.
- Classify and protect information according to the Group’s regulations.
- Legal Content Development and Training
- Organize legal content training and workshops as required by the Group and specialized Departments/Units.
- Participate in training and evaluating real estate consultants during the probation period.
- Develop training programs and workshops on legal content, supporting the enhancement of legal skills for specialized Departments/Units when required.
- Coordinate with related Departments/Units to guide and inspect legal compliance within the Group.
- Build a successor legal team.
- Management and Coordination of the Legal Department’s Activities

- Train and develop employees.
JOB REQUIREMENTS
- Age: 35 years and older.
- Education: University degree with good grades or higher.
- Major: Law, Economic Law.
- Experience: 5 years of working experience, with at least 3 years in the real estate sector.
- Foreign Language: Proficient in English (listening, speaking, reading, writing).
- Computer Skills: Proficient in using computers, office software, and specialized software.
- Skills: Good communication, presentation, persuasion, and negotiation skills.
- Related Certificates: Lawyer practicing certificate.
- Other Necessary Qualities: Dynamic, professional demeanor, able to withstand high work pressure.
